Terms and Conditions
Please read these terms and conditions carefully before commissioning photography services from Stuart Price.
These terms govern all photography services provided by Stuart Price and form part of our contract with you.
1. Application of Terms
These terms and conditions apply to all photography commissions and supersede any other terms proposed by the client. By commissioning work from Stuart Price, you agree to be bound by these terms.
2. Copyright and Ownership
Stuart Price retains full copyright in all photographs created, at all times and throughout the world, in accordance with the Copyright, Designs and Patents Act 1988. Stuart Price asserts the right to be identified as the author of all images through appropriate credit: 'Photograph by Stuart Price' or 'Stuart Price Photography'.
Copyright includes, but is not limited to, the exclusive right to reproduce, publish, distribute, and create derivative works from the photographs.
3. Usage Rights and Exclusivity
Clients receive an appropriate period of exclusivity to publish commissioned photographs, during which no other party may use the images. However, Stuart Price retains the right to use the photographs for:

Portfolio and promotional purposes

Marketing and advertising of photography services

Professional awards and publications

Social media and website display
Following the exclusivity period, photographs may be used for any reasonable purposes unless otherwise agreed in writing. Editorial photographs may be made available to third parties after initial publication in the commissioned medium.
4. Standard License Terms
Unless specified in a separate written license agreement, clients are granted the following rights:
a) Permitted Use: Commissioned photographs may be used for marketing, public relations, and editorial purposes in perpetuity by the original commissioning company. This license does not include advertising use unless specifically agreed and paid for.
b) Third-Party Use: Any publication or use of photographs to promote or publicise companies other than the original commissioning party requires prior written agreement and payment of an additional reproduction fee.
c) Copyright Retention: Stuart Price retains full copyright in all images at all times throughout the world. Where an exclusive use period has been agreed in writing prior to the shoot, no promotional use of images will occur until after this period expires.
5. Creative Direction and Project Briefs
Important: If you have specific requirements for style, composition, or execution, we strongly recommend attending the shoot to provide direction, or providing comprehensive written instructions in advance.
We are happy to work remotely from a detailed brief or to take complete creative direction of your project. Please note the following:

Fee Structure: We do not work on a 'pay per image used' basis. When you commission work, you commit to paying for the agreed time and services, which will be confirmed in writing before the shoot begins.

Reshoots: Additional photography sessions requested after the initial shoot will be charged at full rate (see exceptions below).

Additional Costs: Where models, locations, or other third-party services are involved, all reshoot costs will be charged in full. We strongly advise client attendance for shoots involving significant fixed costs.
Reshoot Exceptions (No Charge):

Products photographed incorrectly (upside down, backwards, or contrary to documented written instructions)

Technical failures attributable to the photographer
To qualify for a free reshoot due to positioning errors, you must provide clear written documentation of styling and positioning requirements prior to the original shoot.
6. Confidentiality
Stuart Price will keep confidential and will not disclose to third parties any material, information, or data communicated in confidence for the purposes of the photography commission. This confidentiality obligation does not prevent Stuart Price from disclosing information where reasonably necessary to fulfill contractual obligations or where required by law.
7. Data Protection
All personal information and data is collected, stored, and processed in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. For detailed information about how we handle your data, please refer to our Privacy Policy.
8. Client Responsibilities and Clearances
The client is responsible for ensuring that:

All necessary clearances, permissions, and releases have been obtained to allow photography to proceed without hindrance

No trademarks, copyrights, or intellectual property rights are infringed

Written parental or guardian permission has been obtained for any person under sixteen years of age who will be photographed

Permission has been granted for identification and publication of photographs featuring children
-
Any location permissions and property releases are in place
Stuart Price accepts no liability for non-delivery of photographs where required permissions have not been properly obtained by the client.
9. Payment Terms
Payment is due within 30 days of the invoice date unless alternative terms have been agreed in writing. Invoices not paid in full within 30 days will incur interest charges at the rate prescribed by the Late Payment of Commercial Debts (Interest) Act 1998, calculated from the due date until full payment is received.
Stuart Price reserves the right to suspend delivery of photographs or withhold usage rights until payment is received in full.
10. Variations and Additional Costs
Where the client requests changes to the original agreed brief, resulting in additional time, expenses, or resources, the client will be liable for these additional costs. Additional fees will be charged at Stuart Price's standard rates and must be approved by the client before work proceeds.
This includes but is not limited to:

Extended shoot times

Additional locations or setups
-
Extra editing or retouching beyond the agreed scope

Rush delivery requests
-
Additional travel or accommodation expenses
11. Image Delivery and Storage
Finished photographs will be made available for viewing and download via a secure online gallery or file transfer link. Images will remain accessible for six months from the commission date.
Extended storage periods can be arranged by agreement and may incur an additional fee. Clients are responsible for downloading and backing up their images within the access period. Stuart Price is not liable for images not downloaded within the specified timeframe.
12. Artistic Judgment and Rejection
Unless a rejection fee has been agreed in advance and documented in writing, there is no right to reject photographs based on style, composition, or creative interpretation. Clients commissioning work should review portfolios and discuss creative direction before the shoot to ensure alignment of expectations.
Technical defects (exposure, focus, or equipment failure attributable to the photographer) are grounds for reshoot or refund at Stuart Price's discretion.
13. Cancellation and Postponement
A booking is considered confirmed from the date of written confirmation. Cancellation or postponement fees apply as follows:

More than 14 days' notice: 25% of quoted fee

7-14 days' notice: 50% of quoted fee

Less than 7 days' notice: 100% of quoted fee
Additional costs already incurred (location fees, model fees, travel expenses, etc.) are non-refundable regardless of notice period.
Stuart Price reserves the right to cancel or reschedule due to circumstances beyond reasonable control (illness, equipment failure, extreme weather, etc.). In such cases, alternative dates will be offered or a full refund provided.
14. Limitation of Liability
While every effort is made to deliver photographs to the highest professional standard, Stuart Price's liability is limited to the total fees paid for the specific commission. Stuart Price is not liable for:

Consequential or indirect losses

Lost profits or business opportunities

Delays in delivery due to circumstances beyond reasonable control

Equipment failure or data loss despite reasonable precautions
This limitation does not affect your statutory rights as a consumer.
15. Governing Law
This agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Amendments
These terms and conditions may only be varied or amended by written agreement signed by both parties. Verbal agreements or email discussions do not constitute binding amendments unless confirmed in a written contract signed by Stuart Price.
